Terms of Service

2.1 The Service

ClarityFP provides a cloud-based financial performance management platform that connects to your accounting software and presents financial dashboards, budgeting tools, cash flow forecasts, management reports, and AI-generated insights.

2.2 Eligibility and Account Registration

• You must be at least 18 years old to create an account
• You must be authorised to enter into this agreement on behalf of any business you represent
• You must provide accurate and complete information during registration
• You are responsible for maintaining the confidentiality of your login credentials
• You must notify us immediately at security@useclarityfp.com if you suspect unauthorised access to your account
• You may not create more than one personal account

2.3 Subscription Plans and Payment

Subscription Tiers

ClarityFP offers the following subscription tiers: Starter (£49/month), Growth (£99/month), Professional (£199/month), and Advisor (£299/month). Features included in each tier are as described on useclarityfp.com/pricing at the time of subscription.

Free Trial

New accounts receive a 14-day free trial with access to Growth tier features. No credit card is required to start a trial. At the end of the trial, you must subscribe to continue using the service.

Billing

• Subscriptions are billed monthly in advance
• All prices are in GBP and exclusive of VAT
• VAT will be charged at the applicable UK rate
• Payment is processed securely via Stripe
• Failed payments will result in a 7-day grace period, after which access may be suspended

Cancellation and Refunds

• You may cancel your subscription at any time from your account settings
• Cancellation takes effect at the end of the current billing period
• We do not provide refunds for partial months
• On cancellation, you will retain read-only access to your data for 30 days, after which data will be deleted

2.4 Data Ownership and Licence

You retain full ownership of all financial data you upload or connect to ClarityFP. By using the service, you grant ClarityFP a limited, non-exclusive, royalty-free licence to access, process, and display your data solely for the purpose of providing the service to you. We do not use your financial data to train AI models or for any purpose other than providing the service.

2.5 Acceptable Use

You agree not to:

• Use the service for any unlawful purpose or in violation of any applicable law or regulation
• Attempt to access another user's account or data
• Reverse engineer, decompile, or attempt to extract the source code of the platform
• Use the service to store, transmit, or process data relating to criminal activity or money laundering
• Resell or sublicense access to the platform without our prior written consent
• Use automated scripts or bots to interact with the platform
• Introduce malware, viruses, or other harmful code into the platform

2.6 Advisor Accounts

Advisor accounts are subject to additional terms:

• Advisors are responsible for ensuring they have appropriate authorisation from their clients before connecting client accounting data to ClarityFP
• Advisors must ensure their use of client data complies with their professional regulatory obligations (ICAEW, ACCA, CIMA, FCA, or equivalent)
• Advisors must comply with UK AML regulations when onboarding clients
• Advisors are responsible for the accuracy of any commentary or analysis they add to AI-generated reports before sharing with clients
• Advisor white-label features do not transfer ownership of the ClarityFP intellectual property

2.7 Third-Party Integrations

ClarityFP integrates with third-party accounting software (Xero, QuickBooks, Sage) and Open Banking providers. Your use of these integrations is also subject to the terms of service of those third parties. ClarityFP is not responsible for the availability, accuracy, or content of data provided by third-party systems. Connecting your accounting software to ClarityFP constitutes your authorisation for ClarityFP to access the data described in the connection scope. ClarityFP accesses accounting data in read-only mode and does not modify your accounting records.

2.8 Intellectual Property

ClarityFP and its licensors own all intellectual property rights in the platform, including but not limited to the software, algorithms, AI models, design, trademarks, and documentation. These terms do not grant you any rights in ClarityFP's intellectual property other than the limited right to use the service in accordance with these terms.

2.9 Service Availability

We aim to maintain 99.5% uptime but do not guarantee uninterrupted access. We will provide at least 48 hours notice for planned maintenance where possible. Emergency maintenance may be performed without notice where required for security or stability. ClarityFP is not liable for any loss caused by service unavailability, including but not limited to lost profits, missed payments, or business decisions made in reliance on the service.

2.10 Limitation of Liability

To the maximum extent permitted by applicable law:

• ClarityFP's total aggregate liability to you for any claims arising from your use of the service shall not exceed the total fees paid by you in the 12 months preceding the claim
• ClarityFP shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, loss of data, or business interruption
• ClarityFP shall not be liable for decisions made in reliance on AI-generated insights, forecasts, or recommendations
• Nothing in these terms limits liability for death or personal injury caused by negligence, fraud, or fraudulent misrepresentation

2.11 Termination

We may suspend or terminate your account immediately if you breach these terms, if we suspect fraudulent activity, or if required by law. You may terminate your account at any time from your account settings. On termination, your data will be retained for 30 days in read-only format, then permanently deleted.

2.12 Governing Law and Disputes

These terms are governed by the laws of England and Wales. Any disputes arising from these terms or your use of the service shall be subject to the exclusive jurisdiction of the courts of England and Wales.
